Corporate and Business Formation
Working with clients in the organization of corporate and business entities, including the preparation of shareholder, limited liability company, and partnership agreements, our experience is in both the formation of new entities as well as in working with our clients on legal issues related to all aspects of an entity's on-going business activities, including corporate governance issues. We also counsel clients on business tax planning, the creation of deferred compensation arrangements, and business succession planning. For our clients with in-house counsel, we work closely with in-house legal staff as requested.
Mergers and Acquisitions
Experienced in negotiating and consummating the acquisition, sale, divestiture, and merger of all types of businesses, we are skilled in structuring the transaction, conducting appropriate due diligence, and drafting and negotiating all necessary documentation. In both national and multi-national transactions, we are experienced in the use of state-of-the-art technology to meet deadlines and move transactions forward expeditiously.
Banking and Finance
With years of experience in business loan transactions, we offer our clients seasoned guidance in bringing their financing transactions to a close. We are also pleased to represent lenders in their loan transactions, including asset-based lending, stock or asset acquisitions, and construction financing.
